1. Purpose
These Terms govern the submission and use of information provided by Supplier to Lotus Automotive, Inc. for supplier evaluation. Submission does not create any binding commercial obligation on either party.
2. Confidentiality
Lotus Automotive, Inc. will treat all submitted information (company presentations, pricing, manufacturing data, customer lists, technical documentation) as confidential and will not disclose it to third parties without prior written consent, except to SASH Autotech Pvt. Ltd. (affiliated entity) for evaluation purposes, or as required by law.
3. Use of Information
Information is used solely for: evaluating supplier suitability; internal procurement planning; communicating with Supplier regarding commercial opportunities. Information will not be used for competitive intelligence or shared with competitors.
4. Accuracy
Supplier warrants that all information submitted is accurate and does not infringe any third-party intellectual property rights.
5. No Commercial Obligation
Submission does not obligate Lotus Automotive, Inc. to place purchase orders. Any commercial engagement will be subject to a separate written Manufacturing and Supply Agreement executed by both parties.
6. Intellectual Property
All submitted information remains the property of Supplier. Lotus acquires no IP rights by virtue of this submission.
7. Data Protection
Personal data will be processed in accordance with applicable data protection laws. Supplier may request deletion at any time by emailing info@lotusautomotiveinc.com.
8. Governing Law
These Terms are governed by the laws of the State of Illinois, United States of America.
