1. Parties and Acceptance

These Terms and Conditions ("Terms") govern all sales, quotes, and transactions between Lotus Automotive, Inc. d/b/a Lotus FleetTech ("Seller," "we," "us") and the purchasing entity or individual ("Buyer," "you"). Our principal place of business is 878 Sivert Drive, Wood Dale, IL 60191, USA.

Acceptance occurs when Buyer submits a purchase order, quote request, or otherwise places an order with Seller. These Terms supersede any terms contained in Buyer's purchase order unless expressly agreed in writing by an authorized officer of Seller.

2. Quotations and Orders

All quotations are valid for 30 days from the date of issue unless otherwise stated in writing. Prices are subject to change without notice until a purchase order is accepted by Seller in writing.

Minimum Order Quantity (MOQ) is 1 unit unless otherwise specified. Volume pricing is available on request. All orders are subject to product availability at time of order confirmation.

Seller reserves the right to decline any order at its sole discretion, including orders that cannot be fulfilled due to supply constraints, export restrictions, or compliance considerations.

3. Pricing and Payment

All prices are quoted in United States Dollars (USD) unless otherwise stated. Applicable taxes, freight, insurance, and customs duties are not included unless expressly stated.

Standard payment terms are 100% advance payment unless Seller has extended credit terms in writing. Accepted payment methods include wire transfer (ACH/SWIFT), check, and other methods as agreed. Credit card payments may be subject to a processing surcharge.

Overdue invoices accrue interest at the rate of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is lower, from the due date until paid in full. Buyer is responsible for all collection costs including reasonable attorney's fees.

4. Shipping, Delivery, and Title

All shipments are made FOB Origin (Wood Dale, IL) unless otherwise agreed in writing. Risk of loss and title transfer to Buyer upon delivery to the carrier at Seller's facility.

Estimated lead times for in-stock items are 2-5 business days for domestic US shipments. Factory-sourced items carry an estimated lead time of 3-5 weeks from order confirmation. Lead times are estimates only and do not constitute a guarantee.

Seller is not liable for delays caused by carrier, weather, customs clearance, acts of God, labor disputes, government regulations, or any other cause beyond Seller's reasonable control.

Buyer is responsible for providing accurate shipping information. Costs arising from address errors, refused deliveries, or re-delivery are borne by Buyer.

5. Inspection and Acceptance

Buyer must inspect all goods upon receipt. Claims for shortages, visible damage, or incorrect items must be submitted to Seller in writing within 5 business days of delivery. Failure to notify within this period constitutes acceptance of the goods as delivered.

Concealed damage must be reported within 10 business days of delivery. Buyer must retain all original packaging for carrier damage claims.

6. Returns and Cancellations

Returns are accepted within 30 days of delivery for unused, uninstalled parts in original packaging, subject to a 15% restocking fee. A Return Merchandise Authorization (RMA) number must be obtained from Seller before returning any goods. Unauthorized returns will be refused.

Custom orders, special-order items, and items sourced specifically to Buyer's specifications are non-returnable and non-cancellable once production or procurement has commenced.

Cancellation of accepted orders may be subject to cancellation charges reflecting costs already incurred by Seller.

7. Limited Warranty

Seller warrants that all products are free from defects in materials and workmanship under normal use and service conditions for a period of 12 months from the date of installation or 18 months from the date of shipment, whichever occurs first.

This warranty does not cover: damage caused by improper installation, misuse, neglect, modification, accident, or use of incompatible fluids or parts; normal wear and tear; damage caused by operation outside the specified parameters; or parts on which the serial number or identification marks have been altered or removed.

Seller's sole obligation under this warranty is, at Seller's option, to repair or replace the defective part or issue a credit for the purchase price. Warranty claims must be submitted through the warranty registration portal at lotusautomotiveinc.com/warranty.

THIS WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

IN NO EVENT SHALL SELLER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF USE, DOWNTIME COSTS, OR DAMAGE TO OTHER EQUIPMENT, ARISING OUT OF OR IN CONNECTION WITH THE SALE OR USE OF ANY PRODUCT, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF SELLER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Seller's total liability for any claim arising under these Terms shall not exceed the purchase price paid by Buyer for the specific product giving rise to the claim.

9. Intellectual Property

All trademarks, trade names, logos, and product designations used by Seller are the property of Lotus Automotive, Inc. or their respective owners. Buyer acquires no intellectual property rights through purchase. Buyer may not use Seller's trademarks or name in advertising or promotional materials without prior written consent.

10. Compliance and Export

Buyer agrees to comply with all applicable US export control laws and regulations, including the Export Administration Regulations (EAR) and OFAC sanctions. Buyer represents that it is not on any US government denied party list and that goods will not be re-exported in violation of US law.

For international shipments, Buyer is responsible for import duties, customs clearance, and compliance with the laws of the destination country.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any dispute arising out of these Terms or any transaction shall be subject to the exclusive jurisdiction of the state and federal courts located in DuPage County, Illinois.

Before initiating legal proceedings, the parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of not less than 30 days.

12. Modifications

Seller reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of Seller's services after such modification constitutes acceptance of the revised Terms.
